3. Use of Services
- You agree to use our services lawfully and not for fraudulent, harmful, or unlawful activities.
- You are responsible for all activity conducted through your accounts and integrations.
- Misuse of services (including spamming, data abuse, or attempts to interfere with our systems) may result in suspension or termination.
4. Account and Access
- Some services may require registration. You agree to provide accurate and complete information.
- You are responsible for safeguarding your login credentials.
- Rousora is not responsible for unauthorised access due to your failure to secure your account.
5. Payment, Billing, and Subscriptions
- All fees will be stated clearly before purchase.
- Payment is due as per the invoice terms or subscription schedule.
- Subscription and retainer services renew automatically unless cancelled in accordance with our Refund & Cancellation Policy.
- Late payments may result in suspension of services until settled.
6. Refunds and Cancellations
- Refunds are handled according to our Refund & Cancellation Policy(available separately).
- Certain services (such as completed consulting hours or setup fees) may be non-refundable.
7. Third-Party Services and Integrations
- Our services often rely on third-party platforms (e.g., Zoho, Odoo, Bitrix24).
- Rousora is not responsible for interruptions, errors, or policy changes by third-party providers.
- By using our services, you agree to comply with any terms required by those third-party providers.
8. Intellectual Property
- All intellectual property rights in our website, materials, playbooks, automation templates, and AI tools remain the property of Rousora unless expressly transferred.
- Clients receive a limited, non-exclusive license to use solutions delivered under their contract.
- You may not copy, resell, or redistribute our materials without prior written consent.
9. Confidentiality and Data Protection
- Both parties agree to keep confidential information private and only use it for the purpose of delivering agreed services.
- Personal data is handled in accordance with our Privacy Policy.
10. Limitation of Liability
- Rousora provides services “as is” and makes no guarantees beyond what is expressly stated.
- We are not liable for indirect, incidental, or consequential damages, including lost profits, data loss, or downtime.
- Our total liability in any 3-month period will not exceed the total fees paid by you to Rousora in that period.
11. Indemnification
- You agree to indemnify and hold harmless Rousora, its employees, and partners from any claims, damages, or expenses resulting from your misuse of our services or breach of these Terms.
12. Termination
- Either party may terminate services with written notice in line with the agreed cancellation policy.
- Rousora may suspend or terminate your access immediately if you breach these Terms, misuse services, or fail to make payment.
13. Service Availability
- While we aim to provide continuous service, we do not guarantee 100% uptime.
- Downtime caused by maintenance, upgrades, or third-party service failures is not the responsibility of Rousora.
- Commitments regarding uptime and support are outlined in our Service Level Agreement (SLA).
14. Acceptable Use
- You must comply with our Acceptable Use Policy (AUP) (available separately).
- Misuse of AI, automation, or integrations (e.g., harassment, fraud, unlawful content) is strictly prohibited.
15. Disclaimer
- All information on our website is provided for general purposes only. We do not warrant that the content is error-free, complete, or up to date.
16. Governing Law and Jurisdiction
- These Terms are governed by the laws of South Africa. Any disputes shall be handled by the courts of Western Cape, South Africa.
